GF Annual Shareholders' Meeting approves all proposals
At today's 127th Annual Shareholders' Meeting of Georg Fischer AG, the shareholders approved all proposals. Monica de Virgiliis and Michelle Wen were elected to the Board of Directors.
For the first time since 2019, the Annual Shareholders' Meeting took place with shareholders attending in person at the IWC Arena in Schaffhausen (Switzerland). 705 shareholders with 940'256 votes were present. The independent proxy represented 33'157'603 share votes. This presence corresponds to a total of 57.57% of the shares entered in the share register with voting rights.
All proposals were approved. The shareholders approved the annual report, the annual financial statement, the consolidated financial statements 2022 and the compensation report. The proposed dividend of CHF 1.30 per share (2022: CHF 1.00 per share, adjusted for the share split) was also approved and will be paid on 25 April 2023. A large majority approved an amendment to the Articles of Association, which became necessary due to the revised company law.
All members of the Board of Directors standing for re-election were re-elected. Jasmin Staiblin and Riet Cadonau did not stand for re-election, due to the limit on Board tenure and for personal reasons, respectively. The Shareholders' Meeting elected Monica de Virgiliis and Michelle Wen as new members of the eight-member Board of Directors. It also confirmed Yves Serra as Chairman, and elected Roger Michaelis, Eveline Saupper and Michelle Wen as members of the Compensation Committee. The constitution of the Audit Committee and of the Nomination and Sustainability Committee was determined by the Board of Directors (see separate document).
